1. Introduction & acceptance
These Terms & Conditions ("Terms") govern access to and use of the BARESTO bar & restaurant point-of-sale system — the on-premise desktop application, the BARESTO CaptainApp, the BARESTO MenuApp, the BARESTO AdminPortal, and our website at baresto.in (together, the "Services"), each provided by BARESTO ("we", "us", "our"). By installing, activating a license for, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.
2. Definitions
- "Software" means the BARESTO desktop application, including its API, database components, and any updates we provide.
- "Companion Apps" means the BARESTO CaptainApp (staff ordering), BARESTO MenuApp (customer QR ordering), and BARESTO AdminPortal.
- "Licensee" / "You" means the restaurant or business entity that has purchased or activated a BARESTO license.
- "End Customer" means a patron of a Licensee's restaurant who places an order or makes a payment through the BARESTO MenuApp.
- "Your Data" means the menu, order, billing, inventory, staff, and customer records a Licensee creates and stores while using the Software.
3. License grant
Subject to these Terms and payment of applicable fees, we grant you a personal, limited, non-exclusive, non-transferable license to install and use the Software on the specific machine(s) for which a license has been issued. Each license is cryptographically bound to a machine fingerprint and is valid for a single restaurant location unless otherwise agreed in writing. You may not copy, sublicense, resell, rent, reverse-engineer, or attempt to bypass the license verification mechanism of the Software.
4. Fees & payment
License fees, billing cycle, and renewal terms are as agreed at the time of purchase or as stated in your quotation/invoice. Fees are generally non-refundable once a license has been issued and activated, except where required by applicable law. We may revise our pricing for future license periods with reasonable prior notice; changes will not apply retroactively to a period you have already paid for.
5. Companion apps
The BARESTO CaptainApp is provided to your staff for table-side ordering and connects only to your own on-premise Software instance, using an address you configure at first run. The BARESTO MenuApp is made available to your End Customers via a table QR code for browsing your menu and placing orders; because customer phones cannot reach your private network directly, orders and UPI payment status are relayed through our cloud services before reaching your Software instance. The BARESTO AdminPortal is provided solely to our own vendor staff for license issuance and account management and is not intended for use by Licensees or End Customers.
6. Acceptable use
You agree not to use the Services to:
- Violate any applicable law, including tax, excise, or consumer-protection regulations
- Attempt to gain unauthorized access to another Licensee's data, license, or on-premise system
- Interfere with or disrupt the integrity or performance of our cloud relay, licensing, or AI services
- Submit false, fraudulent, or misleading statutory data through the excise-portal automation feature
- Reverse-engineer, decompile, or attempt to extract the source code or license-signing logic of the Software
7. Your responsibilities
As a Licensee, you are responsible for:
- The accuracy of menu, pricing, tax, and statutory data you enter into the Software
- Safeguarding staff login credentials and restricting role-based access appropriately
- Configuring and maintaining backups of your own on-premise database (BARESTO does not hold a copy of it)
- Holding a valid liquor excise license and any credentials required to use the excise-portal automation feature, and ensuring the data submitted through it is accurate
- Complying with all applicable laws relating to GST, service charges, and liquor sale/advertising in your jurisdiction
- Informing your End Customers, as required by law, about how their order data is handled when using the BARESTO MenuApp
8. Intellectual property
The Software, Companion Apps, our website, and all associated trademarks, logos, and content are owned by BARESTO and protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of the Services to you. As between you and us, you retain ownership of Your Data — the business records you create while using the Software.
9. Third-party services
The Services integrate with third-party providers — including UPI/payment processors, the Telegram Bot API (only if you configure it), AI processing services used for voice/translation/photo-import features, cloud hosting infrastructure, and the Maharashtra Government excise portal. We are not responsible for the availability, accuracy, or performance of these third-party services, and your use of them may be subject to their own terms.
10. Advertisements
The BARESTO MenuApp may, where enabled, display third-party promotional content (including beverage-brand advertisements) to End Customers. Such content is provided by third parties, does not constitute an endorsement by BARESTO or the Licensee, and any liquor-related content is intended solely for viewing by persons of legal drinking age in the applicable jurisdiction. We are not responsible for the accuracy of third-party advertisements or for any transaction between an End Customer and an advertiser.
11. Liquor items & the MenuApp
By design, the BARESTO MenuApp's menu sync excludes liquor and other alcoholic-beverage items from a Licensee's Bar Management catalogue — such items are never included in the menu data pushed to the MenuApp, and BARESTO does not provide any feature to browse, order, or pay for liquor through the MenuApp. The MenuApp is intended for food and non-liquor beverage ordering only.
If a Licensee, by circumventing this design or through any other means, causes liquor or alcoholic-beverage items to appear, be listed, or be offered for sale through the MenuApp or any other online/QR ordering channel, that is done entirely outside the intended use of the Services and at the Licensee's own risk. The Licensee is solely responsible for complying with all applicable excise, liquor-licensing, age-verification, and online/remote sale-of-alcohol laws in its jurisdiction, and BARESTO bears no responsibility or liability for any such listing or sale.
12. Liquor inventory sourcing & TP purchase integrity
The Bar Management module is built to track liquor inventory sourced solely through the Transport Permit (TP)-based purchase process recorded in the Software — each purchase entered via the Liquor Purchases screen updates the stock snapshot and writes an entry to the liquor ledger that underlies the statutory FLR reports the Software generates. The Software does not support, verify, or in any way endorse liquor procured through any other channel, including liquor purchased from a retail wine shop or any other undocumented or unlicensed source and passed off as bar stock.
If a Licensee bills, sells, or otherwise dispenses liquor through the Software that was not procured and recorded through the TP purchase process — including liquor sourced from a wine shop or other retail outlet — such conduct is illegal under applicable Maharashtra excise law, is undertaken entirely outside the intended and licensed use of the Services, and is done at the Licensee's own risk. BARESTO does not audit or independently verify the true source of liquor entered into inventory beyond the records the Licensee itself creates, and accepts no responsibility for the accuracy of stock or ledger data where a Licensee has misrepresented or falsified the origin of that stock.
The Licensee is solely and exclusively responsible for ensuring that all liquor sold through the Software is procured, stocked, recorded, and sold strictly in accordance with the conditions of its excise license and all applicable Maharashtra excise laws and rules. BARESTO bears no responsibility or liability whatsoever — including any fine, penalty, license suspension or cancellation, prosecution, or other excise-related consequence — arising from a Licensee selling or dealing in liquor inventory not sourced through the TP purchase process, and the Licensee shall indemnify and hold BARESTO harmless from any claim, liability, cost, or expense (including legal fees) arising out of or relating to any such conduct.
13. Food quality, health & payment disclaimer
BARESTO is a technology provider — we supply the software that a Licensee restaurant uses to take orders and route payments. We do not prepare, cook, package, handle, or deliver food, and we are not a party to the sale of food or beverages between a Licensee and its End Customer. Accordingly:
- Any complaint, claim, or legal proceeding relating to food quality, freshness, hygiene, allergens, incorrect or missing items, or a health issue (including food poisoning) arising from an order placed through the BARESTO MenuApp — whether for dine-in, takeaway, or delivery — is a matter solely between the End Customer and the Licensee (and, where applicable, the Licensee's delivery partner). BARESTO bears no responsibility or liability for any such claim and shall not be named or joined as a party to it.
- BARESTO's role in payments is limited to relaying payment status (for example, a UPI confirmation) between an End Customer's device and the Licensee's on-premise system. We are not a payment aggregator or gateway and do not hold, process, or settle funds ourselves. Any payment failure, delay, duplicate charge, refund request, or dispute must be resolved directly between the End Customer, the Licensee, and the relevant bank/UPI/payment service provider — BARESTO is not liable for losses arising from such issues.
- The Licensee shall indemnify and hold BARESTO harmless from any claim, liability, cost, or expense (including legal fees) arising out of or relating to food quality, food safety, health-related complaints, or payment disputes connected with orders placed through the Services.
14. Disclaimer of warranty
The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that statutory reports generated by the Software will be accepted without query by the relevant excise or tax authority — Licensees remain solely responsible for their own regulatory compliance.
15. Limitation of liability
To the maximum extent permitted by law, BARESTO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of revenue, profit, or data, arising from your use of or inability to use the Services. Our total aggregate liability for any claim arising out of these Terms shall not exceed the license fees paid by you in the twelve (12) months preceding the claim.
16. Suspension & termination
We may suspend or terminate a license for non-payment, breach of these Terms, or fraudulent/abusive use of the Services, with notice where reasonably practicable. On termination, the Software's license gate will block further use until a valid license is reactivated; however, because Your Data resides in a database on your own PC and not on our infrastructure, termination of a license does not itself delete, lock, or transfer that data — it remains under your control and accessible through standard database tools even if the Software is no longer licensed.
17. General
These Terms constitute the entire agreement between you and BARESTO regarding the Services and supersede any prior agreements on this subject. We may update these Terms from time to time; continued use of the Services after an update constitutes acceptance of the revised Terms. If any provision is found unenforceable, the remaining provisions will continue in full force. These Terms are governed by the laws of India, and any dispute shall be subject to the exclusive jurisdiction of the courts having competent jurisdiction in Maharashtra, India.
